JOB SUMMARY:

This position provides an opportunity to develop and implement a best-in-class approach for corporate governance for global legal entities within our Corporate Secretary team, and cross-functionally with our Tax, Treasury and Finance teams.  The ideal candidate is a highly organized, technically proficient, and self-confident individual, with experience in corporate governance and legal entity management.  In addition, the individual should be able to balance and prioritize assignments and deadlines in a fun, fast-paced environment.  This position is ideal for a self-starter, with high integrity and high professional standards, who demonstrates flexibility and adaptability with minimal supervision.

Responsibilities:

  • Develop and implement a best-in-class approach for corporate governance for global legal entities, including being the primary owner of entity management software.

  • Draft and maintain legal documentation in support of the Company’s business operations, including incumbency certificates, officer certificates and delegations of authority.

  • Maintain corporate records, including resolutions and minutes, coordinate appointment of directors and officers, manage registration and maintenance of each entity in good standing, ensure annual reports are filed, and coordinate paperwork for international entities to ensure annual and on-going compliance with corporate and business registration requirements.

  • Manage corporate licenses and registrations to do business in states and foreign countries as well as state vehicle licensing.

  • Support of M&A transactions and other transactions including preparing for closing and organization and preparation of due diligence materials.

  • Manage and support Annual Compliance and Corporate & Securities calendars and related activities.

Qualifications:

  • Associate’s degree/Bachelor’s degree required or equivalent education and experience

  • 7+ years experience as a Legal Assistant or Paralegal in a law firm or corporate legal department

  • Ability to operate with a high degree of independence and discretion and maintain strict confidentiality, including on highly sensitive and business-critical matters

  • Strong oral and written communication skills and attention to detail

  • Superior interpersonal skills

  • Demonstrates an uncompromising level of integrity and code of ethics

  • Self-motivated, resourceful, adaptable, decisive, capable of working independently and autonomously, as well as in a team, and possessing mature, independent judgment

  • Ability to multi-task, prioritize, meet deadlines, and be extremely responsive and flexible in a fast-paced environment

  • Be a team player who wants to learn, take initiative, and work together to get things done

  • Demonstrates flexibility and commitment

  • Proficient in Microsoft Office, including Word, Excel, and PowerPoint

  • Ability to use, or quickly learn, Diligent Board Books and GEMS
