The Impact You’ll Make
We are looking for a highly motivated, self-directed, and seasoned legal counsel and Company Secretary based in Bangalore. This job description is for one of the positions which will be primarily responsible for providing legal advice and support to Polaris India in connection with ongoing business operations, government engagements/filings, entire secretarial work, with a focus on commercial legal issues
What You’ll Do
Legal Counsel Role
- Regional Counsel. Serve on the Polaris India leadership team and provide general legal services across all business units enabling profitable growth while mitigating legal risks and ensuring compliance with laws, regulations, company policies and ethics
- Contracts. Draft, review, and negotiate various national and international contracts including service agreements, NDA’s, dealership agreements, MOU, Affidavits, HR related contracts & clauses, purchasing direct/indirect materials and services, software licensing, subscriptions, confidentiality, information security and other common areas agreements / legal documents.
- Knowledge Management. Maintain and assist in developing standardized contract templates (Service agreements/Dealer agreements/NDA’s with code of ethics and code of conduct compliance requirements and etc.), and internal knowledge management resources.
- New Legal Obligations. Monitor and communicate legal developments in India and follow up or escalate as applicable to ensure business has process to comply.
- Other. Provide strategic support and partnership to regional management and operations in India and other jurisdictions as may be assigned, in support of company vision and other objectives.
- Handling civil suits, criminal matters, police complaints, recovery cases, custom cases, HSN classification matters, FEMA compliances and other ensuring compliances and advising on regulatory applicable compliances.
- Dealing with Police / District courts/High Courts/Supreme courts/CESTAT Authority/CESTAT Appellate authority/ NCDRC.
Company Secretary Role
- Managing board meetings and board members in compliance with Companies Act and Secretarial standards.
- Timely statutory fillings with ministry of corporate affairs and Reserve Bank of India.
- Maintaining statutory registers.
- Ensuring CSR regulatory compliances and advising the board.
- Conducting shareholders meeting in compliance with regulatory requirements.
- Managing dealings with notices/ complaints raised from Reserve Bank of India/Ministry of Corporate Affairs/ NCLT/NCLAT.
- Preparing Directors report/ vetting & signing annual financials/ drafting & circulating board & shareholder meetings minutes in compliance with secretarial standards.
- Coordinating and managing practicing company secretary requirements for timely fillings of multiple forms with ministry of corporate affairs and RBI.
Who We’re Looking For
- Exceptional written and oral communication skills with ability to influence decision makers at all levels
- Effective project management and presentation skills with ability to prioritize competing demands
- Strong customer orientation with ability to maintain independence and autonomy in the face of strong business pressures
- Entrepreneurial spirit with ease and comfort working independently and as a global team player in matrixed organization
- Fluency in English and Hindi
- Having some experience of International legal work exposure and experience of working with US/Europe reporting managers.
Preferred Qualifications
- Law degree from India LL. B, preferably LL.M with minimum approx. 14 to 17 years relevant post qualification experience including company secretarial matters
- Qualified Company Secretary preferably (FCS) from ICSI “Institute of Company Secretaries of India”
